基于有限责任公司的“人合性”和“封闭性”的特征,公司僵局的发生就不可能避免,随着公司的发展越来越迅猛,这种僵局现象的发生率也在随之不断的提高。但是在公司法颁布之前,人们意识上的缺失和法律上的空白,导致的是公司、股东和社会等方面利益受到严重损害。2005年公司法在一定程度上关注了公司僵局这个现象,在法条中简单规定了一些可以说是解决的方法,但是要做到充分的理解公司僵局的理论基础及形成原因,做到熟练及有效的解决公司僵局,仅仅靠现行公司法上如此简单的法条是远远不够的,要想从根本上****公司僵局,靠的不仅是法律法规的规定,还要从制度上和程序上进行细致的规定。要想彻底的解决公司僵局,不能说某个国家的措施是先进的,某一种手段是万能的,只有在充分的分析了解公司僵局的实际情况后,进一步结合本国的司法环境,才能选择一种或几种有效的方式去解决。
